These Terms of Service (“Terms”) govern your access to and use of the Meridian website, dashboard, and services (the “Service”), operated by Meridian (“we”, “us”, “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Meridian is a software tool that helps you mirror product listings from Amazon to your own eBay store, apply a fixed markup, and optionally monitor those listings for price and stock changes. We provide software only. We are not a marketplace, retailer, reseller, supplier, or party to any transaction between you and your buyers or suppliers.
You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate information and to keep your account secure. Sign-in uses a one-time code sent to your email, so you are responsible for maintaining access to, and the security of, your email account. You are responsible for all activity that occurs under your account.
You connect your own eBay account to the Service using eBay’s authorization (OAuth). You authorize us to create, revise, and end listings and to read order and account data on your behalf, as directed by you through the Service. You remain solely responsible for your eBay account, its standing, and compliance with eBay’s and Amazon’s terms and policies. We never receive or store your eBay password.
You acknowledge and agree that sourcing products from Amazon to fulfill eBay orders (a form of retail dropshipping) may conflict with eBay’s dropshipping policy, Amazon’s terms of service, and other marketplace rules, and may result in listing removal, selling restrictions, financial holds, or account suspension.
You use the Service at your own risk. You are solely responsible for how you use it and for your compliance with all applicable marketplace policies, laws, and regulations. We do not guarantee any particular outcome, do not provide legal advice, and are not responsible for actions taken against your marketplace accounts.
You are solely responsible for the products you list and for ensuring you have the right to list them. Many brands protect their trademarks and other rights through eBay’s Verified Rights Owner (VeRO) program and similar mechanisms. Meridian includes a best-effort brand filter that skips certain high-risk items, but it is not exhaustive and does not guarantee compliance. Listing infringing, counterfeit, restricted, or unsafe items may result in takedowns and penalties for which you are responsible.
The Service is offered under tiered plans with active-listing limits and optional add-on features such as automatic monitoring. Plan features, limits, and prices may change. Where paid billing applies to your plan, you authorize us and our payment processor to charge the applicable fees. Fees are non-refundable except where required by law or expressly stated.
You agree not to misuse the Service. In particular, you will not:
The Service integrates with third parties including Amazon, eBay, Keepa, and Google, and your use of those services is subject to their respective terms. We are not affiliated with, endorsed by, or sponsored by Amazon or eBay. “Amazon”, “eBay”, and other names are trademarks of their respective owners, used here only to describe interoperability.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted or error-free, or that its use will result in any sales, profit, or compliance with any marketplace policy.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERIDIAN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, OR FOR ANY MARKETPLACE ACCOUNT SUSPENSION, RESTRICTION, OR FINANCIAL HOLD, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. Our total liability for any claim will not exceed the greater of the amounts you paid us in the three months before the claim or USD $100.
You agree to indemnify and hold harmless Meridian and its operators from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your listings, or your violation of these Terms, any marketplace policy, or any law.
You may stop using the Service and disconnect your eBay account at any time. We may suspend or terminate your access if you violate these Terms or misuse the Service. Provisions that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will survive.
We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Your continued use of the Service after changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. You and Meridian agree that the state and federal courts located in Texas will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
