These Terms of Service (“Terms”) govern your access to and use of the Meridian website, dashboard, and services (the “Service”), operated by MeridianBot LLC (“Meridian”, “we”, “us”, “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Meridian is a listing-automation and optimization platform that helps you create and manage listings on your own eBay store, apply automatic pricing, and optionally monitor those listings for price and stock changes. You select the products you want to sell. We provide software only. We are not a marketplace, retailer, reseller, supplier, or party to any transaction between you and your buyers or suppliers.
You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate information and to keep your account secure. Sign-in uses a one-time code sent to your email, so you are responsible for maintaining access to, and the security of, your email account. You are responsible for all activity that occurs under your account.
You connect your own eBay account to the Service using eBay’s authorization (OAuth). You authorize us to create, revise, and end listings and to read order and account data on your behalf, as directed by you through the Service. We never receive or store your eBay password.
You remain solely responsible for your eBay account, its standing, and compliance with eBay’s terms and policies and those of any supplier or source you use. This includes, without limitation, responding to buyer messages and cases, uploading tracking information within your stated handling time, honoring returns and refunds, and maintaining your account’s performance standards. Meridian does not communicate with buyers, process returns, or fulfill orders on your behalf.
You acknowledge and agree that, depending on how you source the products you list, fulfilling eBay orders by purchasing from another retailer or marketplace (a form of retail dropshipping) may conflict with eBay’s dropshipping policy, a supplier’s terms of service, and other marketplace rules, and may result in listing removal, selling restrictions, financial holds, or account suspension. eBay permits certain wholesale-supplier dropshipping arrangements but prohibits listing an item and then purchasing it from another retailer or marketplace to ship directly to your buyer.
You use the Service at your own risk. You are solely responsible for how you use it and for your compliance with all applicable marketplace policies, laws, and regulations. We do not guarantee any particular outcome, do not guarantee marketplace compliance or account safety, do not provide legal advice, and are not responsible for actions taken against your marketplace accounts.
You authorize Meridian to take automated actions on your behalf at your direction, including creating, revising, pricing, and ending eBay listings, and, where you enable monitoring features, updating prices and quantities as source data changes. These actions are performed using the permissions you grant through eBay’s authorization.
You are responsible for reviewing your listings and their prices, titles, descriptions, images, and item specifics, and for ensuring they are accurate and appropriate before and after they go live. Automated pricing and data are provided to assist you, not to replace your judgment. You can preview a batch before publishing and can end or edit any listing at any time.
You are solely responsible for the products you list and for ensuring you have the right to list them. Many brands protect their trademarks and other rights through eBay’s Verified Rights Owner (VeRO) program and similar mechanisms. Meridian includes a best-effort brand filter that skips certain high-risk items, but it is not exhaustive and does not guarantee compliance. Listing infringing, counterfeit, restricted, or unsafe items may result in takedowns and penalties for which you are responsible.
The Service is offered under tiered plans with active-listing limits and optional add-on features. Paid plans are recurring subscriptions. By starting a paid plan or a trial that converts to a paid plan, you authorize us and our payment processor to charge your payment method the applicable recurring fee (plus any applicable taxes) on a recurring basis until you cancel.
Automatic renewal. Paid subscriptions renew automatically at the end of each billing period at the then-current price for your plan, and your payment method is charged each period until you cancel. Trials, where offered, may carry a one-time, non-refundable trial fee (currently $1) charged when the trial starts, and begin billing the plan automatically when the trial ends unless you cancel before then.
Cancellation. You may cancel your subscription at any time from Settings → Billing in your dashboard, which uses self-service cancellation through our payment processor. When you cancel, your plan remains active until the end of the current billing period and then does not renew; you are not charged again after cancellation takes effect. Canceling does not, by itself, delete your account or data (see the Privacy Policy for data-retention and deletion).
Payment failures. If a charge fails, we and our payment processor may retry the charge and may suspend or downgrade paid features until payment succeeds. You are responsible for keeping a valid payment method on file.
Billing questions and disputes. If you believe a charge is wrong, you agree to contact us first at info@meridianbot.io so we can review it, and to give us a reasonable opportunity to resolve it before disputing the charge with your bank or card issuer. Many issues can be resolved quickly, including through the refunds described in our Refund Policy.
Chargebacks. Disputing or reversing a valid charge for a service you received and used (a chargeback) is a breach of these Terms. If a payment is reversed this way, we may immediately suspend your account as described in Section 16, and the disputed amount, together with any fees our payment processor charges us for the dispute, remains owed to us. We may recover amounts owed through lawful means, including a collections agency.
Plan and price changes. Plan features, limits, and prices may change. Where required by applicable law, we will provide reasonable advance notice of a price change that affects your subscription, and the new price applies to renewals after the notice period. Your continued use or non-cancellation after a change takes effect constitutes acceptance of the change.
Refunds are governed by our Refund Policy (meridianbot.io/refund), which forms part of these Terms. In summary: first-time subscribers may request a full refund of their first subscription payment within 14 days of that charge; renewal payments are non-refundable except where required by law; and cancelling stops future charges while keeping access until the end of the paid period. If these Terms and the Refund Policy differ on a refund question, the Refund Policy applies.
Refunds cover the Meridian subscription fee only and do not cover third-party costs (for example, your eBay fees or the cost of goods you source). To request a refund, email info@meridianbot.io or use the contact page with your account email and the charge in question.
You agree not to misuse the Service. In particular, you will not:
The Service integrates with third parties including eBay, Google, and third-party product-data providers, and your use of those services is subject to their respective terms. These third-party services and their APIs are outside our control and may change, become unavailable, rate-limit, or return errors, which can delay, interrupt, or prevent certain features (including listing, importing, or repricing). Product and pricing data are provided by third-party sources and may be incomplete, delayed, or inaccurate; you are responsible for verifying data before relying on it.
We are not affiliated with, endorsed by, or sponsored by eBay or the other services we integrate with. “eBay” and other names are trademarks of their respective owners, used here only to describe interoperability.
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service may be unavailable from time to time due to maintenance, updates, third-party outages, or events beyond our reasonable control. We are not liable for losses arising from any interruption, delay, or unavailability of the Service or of any third-party marketplace or API.
If you believe content made available through the Service infringes your intellectual-property rights, contact us at info@meridianbot.io with enough detail to identify the content and the right at issue. Note that listings are published to your own eBay account; complaints about live eBay listings may also be directed to eBay through its Verified Rights Owner (VeRO) program and reporting tools.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted or error-free, or that its use will result in any sales, profit, revenue, or compliance with any marketplace policy.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERIDIAN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, OR FOR ANY MARKETPLACE ACCOUNT SUSPENSION, RESTRICTION, OR FINANCIAL HOLD, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. Our total liability for any claim will not exceed the greater of the amounts you paid us in the three months before the claim or USD $100.
You agree to indemnify and hold harmless Meridian and its operators from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your listings, or your violation of these Terms, any marketplace policy, or any law.
You may stop using the Service and disconnect your eBay account at any time, and you may cancel a paid subscription as described above.
Suspension and termination. We may suspend or terminate your access to the Service, with or without notice, if a payment is reversed through a chargeback or dispute, if amounts you owe remain unpaid, if we reasonably suspect fraud or abuse, or if you violate these Terms or misuse the Service. Suspension may include blocking sign-in and preventing the marketplace accounts connected to your account from being connected to the Service again, including through another account.
Listings after suspension or termination. If your account is suspended or terminated for a chargeback, non-payment, or a breach of these Terms, we may end the eBay listings that the Service created for your account, using the permissions you granted. We will notify you by email before doing so. Ending listings does not affect orders that were already placed.
Data after termination. After your account is terminated, we keep your data as described in our Privacy Policy, including the records we need for billing, disputes, fraud prevention, and legal obligations.
We may update these Terms from time to time. Material changes will be posted on this page with an updated date, and where required by law we will provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance. Third-party marketplace and supplier policies may also change at any time; you are responsible for complying with their current policies, and such changes are outside our control.
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. You and Meridian agree that the state and federal courts located in Texas will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where applicable law provides otherwise.
Provisions that by their nature should survive termination or expiration of these Terms (including, without limitation, sections on marketplace compliance, billing amounts owed, refunds, disclaimers, limitation of liability, indemnification, intellectual property, and governing law) will survive.
